1) CUSTOMER / INSTALLATION TERMS & CONDITIONS
Optima Shopfitters Ltd
These Terms and Conditions (“Contract Terms”) apply to all quotations, agreements, and works carried out by Optima Shopfitters Ltd, Company No. 16297117, of 24a Sydenham Road, London SE24 5QE (“we”, “us”, “our”) for the client (“you”, “your”).
By accepting a quotation (verbally or in writing), paying a deposit, or allowing works to commence, you agree to these terms.
1. Formation of Contract
1.1 A contract is formed when you accept our quotation in writing, verbally, or by payment of any deposit.
1.2 Any terms proposed by the client do not override these Terms unless agreed in writing by us.
2. Scope of Works
2.1 We provide shopfitting, design, manufacturing, installation, signage, and associated construction services.
2.2 The scope is strictly limited to what is stated in the quotation.
2.3 Any additional works must be agreed under Clause 8 (Variations).
3. Pricing & VAT
3.1 All prices are as stated in the quotation unless otherwise specified.
3.2 Prices may be subject to VAT at the prevailing rate where applicable.
3.3 We reserve the right to correct obvious pricing errors.
4. Payment Terms
4.1 Payments are strictly as follows unless otherwise agreed in writing:

50% deposit payable to confirm order

45% stage payment due prior to delivery of goods or commencement of installation phase

5% final payment payable prior to completion of installation
4.2 Time for payment is of the essence.
4.3 Late payments will incur interest at 8% above the Bank of England base rate, plus reasonable debt recovery costs.
5. Retention of Title
5.1 All materials, goods, and products remain the property of Optima Shopfitters Ltd until full payment is received.
5.2 We reserve the right to remove goods from site if payment is not made in accordance with this contract.
6. Client Responsibilities
You must:

Provide full access to site at agreed times

Ensure site is safe and ready for works

Provide accurate measurements and approvals

Obtain any necessary permissions unless agreed otherwise
Delays caused by the client may result in additional charges.
7. Delays & Force Majeure
We are not liable for delays caused by:

Client actions or inaction
-
Site conditions
-
Third-party contractors
-
Supply chain delays
-
Events beyond our reasonable control
Timeframes will be extended accordingly.
8. Variations / Extra Works
8.1 Any changes, additions, or amendments requested by the client will be treated as a variation.
8.2 Variations will be charged in addition to the original quotation.
8.3 We are not obliged to proceed with variation works until agreed in writing.
9. Delivery & Installation
9.1 Delivery dates are estimates unless expressly guaranteed in writing.
9.2 Installation will take place once all payment stages are met.
9.3 The client must ensure site readiness.
10. Warranty
10.1 We provide a 1-month workmanship warranty from completion of installation.
10.2 This warranty covers only defective workmanship and not misuse, wear and tear, or third-party interference.
10.3 Manufacturer warranties are passed through where applicable.
11. Liability
11.1 Our total liability is limited to the value of the contract.
11.2 We are not liable for indirect, consequential, or financial loss (including loss of business, profit, or revenue).
11.3 Nothing excludes liability for death or personal injury caused by negligence or fraud.
12. Cancellation & Termination
12.1 If the client cancels after acceptance, we may charge for all costs incurred plus loss of profit.
12.2 We may suspend or terminate works if payment terms are not met.
13. Intellectual Property
All designs, drawings, and concepts remain the property of Optima Shopfitters Ltd unless otherwise agreed in writing.
14. Complaints
Any complaints must be submitted in writing. We will aim to respond within a reasonable timeframe.
15. Governing Law
This contract is governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
